The 'corporate veil', shielding shareholders from liability for corporate decisions, has been seen as a key feature of this structure. However, one of the problems with the 'corporate veil', excellent as it seems to have been for encouraging investment, is the shield that it can provide for incompetent or self-interested management decisions which harm others.
